内容简介/ Abstract:

How does the structure of domestic regulatory institutions shape international investment? We examine the effect of regulatory fragmentation on cross-border acquisitions. Using a firm-level measure of fragmentation, we find that a 1% increase in domestic disjointedness raises the likelihood of outbound acquisitions by 3.2% relative to domestic deals. This effect is driven by a search for institutional efficiency: firms facing high domestic fragmentation target countries with superior governance and innovation ecosystems to mitigate elevated operational costs and R&D constraints. While these acquisitions facilitate a structural shift of real activities abroad, they are associated with negative announcement returns and long-term underperformance. Our results suggest that cross-border M&A serves as a costly escape from domestic institutional frictions.

主讲人介绍/Biography of the speaker：

李东旭现任厦门大学经济学院金融系、厦门大学王亚南经济研究院金融学副教授，博士生导师，主要研究方向为可持续金融（含绿色金融）、产业经济学、公司金融和并购重组。本科、硕士毕业于中国人民大学财政金融学院金融系，博士毕业于美国俄亥俄州立大学费雪商学院(Fisher College of Business)金融系，曾在《管理世界》、《世界经济》、《中国工业经济》、《金融研究》(2篇）、《管理科学学报》、Journal of Comparative Economics、Journal of Business Ethics（已接收）、Journal of Corporate Finance (3篇)、和Journal of Empirical Finance （2篇）等国内外重要期刊发表论文。福建省青年拔尖人才，主持教育部人文社科规划基金项目、国家自然科学基金青年基金项目、福建省社会科学基金一般项目，参与多项国家自科和社科基金项目。现任中文核心期刊《中国经济问题》编委会副主编，担任国际SSCI核心期刊(JCR 1区) Emerging Markets Review副主编。讲授中英文课程有《公司金融学》（本科、硕士、博士）、《企业并购重组》、《学术论文写作》。国务院发展研究中心智库顾问，河北省金融委员会智库专家，撰写多篇政策性报告，其中2篇被国务院办公厅采纳，7篇被教育部采纳。厦门大学首批“就业引航”十佳名师，厦门大学“颉颃计划”暑期社会实践领队老师，荣获厦门大学恒生奖教金、厦门大学青年教师教学比赛英文组一等奖、最佳教案奖、厦门大学“追寻领袖足迹”厦门大学社会实践优秀个人。
